Ben Langdon - Director

Ben joined Claymore in 2006 after ten years working with top New Zealand and international law firms and companies including Russell McVeagh (NZ), Linklaters (UK), and British Airways (UK).  Ben has law and commerce degrees from Victoria University in Wellington.

Ben has a general corporate and commercial practice with particular focus and experience in the areas of:
  • Public company
  • Securities
  • Mergers and acquisitions
  • Corporate law
  • Company structuring; and
  • Shareholders’ Agreements

Ben has acted for large FTSE-100 and NZX50 corporates as well as SMEs and start-ups across a broad range of industry sectors.

James Ryan - DIRECTOR

James has a general corporate and commercial practice with particular focus in the areas of mergers and acquisitions, corporate law, structuring, shareholders’ agreements, commercial contracts, financing, franchising and dispute resolution. He holds a BCom/LLB with a major in finance from the University of Auckland and was admitted as a barrister & solicitor in 2007.

James provides a practical approach to help facilitate commercial transactions or, alternatively, resolve commercial disputes. His priority is to quickly gain an in-depth knowledge of his client's business to enable him to offer the best possible advice for their circumstances. Examples of his recent work include:
  • Acted for vendors and purchasers in connection with the sale and purchase of businesses ranging in value from $1 million to $60 million

  • Acted for defendant in connection with disputes arising in equity and under section 149 of the Companies Act 1993 (High Court and Court of Appeal)

  • Acted for defendant trustees in connection with challenges to their suitability to be trustees and issues as to the capacity of the appointer to appoint such trustees (High Court)

  • Acted for plaintiff in connection with claims for damages against cartel members under section 82 of the Commerce Act 1986 (High Court).

  • Acted for New Zealand entities in connection with their expansion into China
  • Advise one of New Zealand’s largest exporters in connection with commercial contracts, structuring and corporate matters.

  • Acted for shareholders in connection with shareholder disputes, exit strategies and claims under section 174 of the Companies Act 1993 in respect of companies valued between $2 million and $60 million

  • Advise one of New Zealand’s most recognised franchisors in connection with structuring, franchise documentation and enforcement.

  • Acted for financial institutions providing funding ranging from $500,000 to $10 million
  • Acted for borrowers in connection with financial accommodation (both debt and equity) ranging from $2 million to $25 million

Greg Barclay - Consultant

Greg was a founding partner of Claymore in 1998. He graduated in law from Canterbury University and has a post-graduate business qualification from the University of Auckland.

Greg has a general commercial practice with an emphasis on mergers and acquisitions and corporate and structured financing (including debt and equity raising). He also deals with SMEís including new investment, project commercialization, venture capital and franchising. He has also had a long involvement in the business of sport and large events and is recognized as a leading specialist in this area.

As well as being a partner with Claymore Greg is also a past or present director of some high profile New Zealand corporate or sporting entities including Rugby Sales LP (a partner in the commercial programme for Rugby World Cup 2011) and Experience Group (a leading national sports and event management company). He is currently a director of New Zealand Cricket and a former chairman of Northern Districts Cricket. He is a director of NZX listed Smartpay Limited, chairman of Pacific Forest Products Group (a significant log and export marketing company in New Zealand) and currently chairs Franchised Businesses Limited (the largest franchise company in New Zealand with over 700 Green Acres and Hire-A-Hubby franchisees).

Greg is honorary solicitor to the Canadian Trade Consulate and the Canada New Zealand Business Association. He is also a member of the New Zealand Institute of Directors.

John Seton - Consultant

John holds a Bachelor of Laws from Victoria University of Wellington and a Master of Laws with Honours from the University of Auckland. He is admitted as:
  • a solicitor of the Supreme Court of England and Wales (inactive)
  • an attorney at law in the State of California (inactive)
  • a barrister and solicitor of the Supreme Court of New Zealand
John is a former Asia 2000 Fellow, past chairman of the Vietnam / New Zealand business council and is a member of, and has been admitted as an accredited director by, the New Zealand Institute of Directors.

After practicing as a solicitor then general counsel, John established and managed a number of public companies. In 1998 he established the Claymore partnership with Greg Barclay.

John has practiced in the areas of corporate, commercial, technology and property law both in New Zealand and overseas. He has experience both as counsel and client in:
  • project assessment
  • structuring and financing
  • joint ventures
  • project and product commercialisation/licensing
  • initial public offerings
  • corporate restructuring
  • takeovers and mergers
  • corporate and project fundraising (both debt and equity), purchases and sales
John is a past director or chair of a number of public companies in New Zealand, Australia and Canada. He is currently a director of ASX listed Manhattan Corporation Limited. He was also the former chairman of Summit Resources Ltd when it was taken over in an A$1.2b hostile transaction.

Matthew Paget - Consultant

Matthew qualified as a Barrister and Solicitor in New Zealand in 1992 and his experience spans banking and finance, structured finance, and corporate law both in private practice as well as a member of pre-eminent in-house legal teams. He has significant international experience having held senior positions at Norton Rose Solicitors (London), HSBC Bank (London), Deutsche Bank (Sydney) and Babcock & Brown (Sydney). He holds practising certificates for both New Zealand and Australia and is able to advise on cross border transactions.

Matthew has a deep understanding of a broad range of commercial transactions and an ability to bring together technical legal know-how with sound commercial judgement. He has a particular interest in private equity transactions having been a principal of a Sydney based private equity and advisory firm. He also holds a Diploma in Corporate Finance and financial analysis from London Business School.

His areas of expertise include:

Ryan Henaghan - Lawyer

Ryan was born and bred in Dunedin where he graduated from the University of Otago in 2011 with an LLB and a BCom majoring in accounting.

In March 2012, Ryan joined the Claymore team and was admitted to the bar as a Barrister & Solicitor.

Ryan practices in the areas of commercial and corporate law, in particular, intellectual property, securities, governance, and drafting of commercial contracts and agreements. Ryan also has an interest in incorporated societies/charitable trusts and business sales and acquisitions.

When not at work, Ryan enjoys spending time with friends and family, while endeavoring to maintain his childhood love for cricket, rugby and golf.

Ben van Velthooven - Lawyer

Originally from the Manawatu with a rural background, Ben joined Claymore Partners in 2014. Ben has previously worked for a large provincial firm in Southland for a number of years working in the rural, commercial and private client areas. He completed his studies at the University of Otago graduating with a Bachelor of Laws and a Bachelor of Commerce Majoring in International Business.

Benís experience has given him a broad scope and experience in property, fisheries, rural, transactional, commercial, trust, and private client matters. Ben enjoys direct client contact and problem solving. His practical and hands on rural upbringing provides him with a pragmatic and reasoned application in order to best facilitate results for his clients.

In addition to his work commitments, Ben is also an active member of New Zealandís Defence force, recently commissioning as an officer in the Army Reserve. Ben has previously deployed on peacekeeping operations in the Pacific.

Outside of work, Ben enjoys getting away from the rush by going hunting, skiing, scuba diving, fishing, socialising with his friends and eternally fixing his classic cars.

Lesley Harper - Registered Legal Executive

Lesley qualified as a registered legal executive in 1998 and since then has worked in a range of small and medium-sized firms in Auckland joining Claymore Partners in 2014.

Lesley specialises in property and private client work with a focus on:

Julie Gildon - Practice Manager

Julie is responsible for the day to day operation of the practice, including financial, technology, HR and general administration. In fact, anything except legal advice to clients.

Joining the firm in 2010 Julie brings with her 25 years plus experience working in the legal environment, a fondness for accounting, keen interest in business development and a commitment to exceeding client expectations.

Away from the office Julie is a keen tennis player, an enthusiastic side line supporter of rugby & netball, with a passion for international cooking, entertaining & good wine.
